Terms of Service

1. Parties and Governing Law

These Terms of Service ("Terms") govern the use of DitherLab (the "Service"), operated by RDI, St Prex, Switzerland ("we", "us", "our").

These Terms are governed by Swiss law, in particular the Swiss Code of Obligations (CO/OR). By using the Service or completing a purchase, you ("Customer") agree to these Terms.

2. Description of the Service

DitherLab is a browser-based image dithering tool. All image processing runs entirely on your device — no image data is ever uploaded to our servers.

The Service is offered in two tiers:

3. Pro Licence & Payment

DitherLab Pro is available for a one-time payment with no recurring charges. Payment is processed securely by Stripe. Upon successful payment, you receive a lifetime personal licence for the Service as it exists at the time of purchase, including future updates for as long as the Service remains operational.

Prices are displayed at checkout inclusive of any applicable taxes. Early-bird pricing may apply for a limited number of purchases.

A Pro licence is personal and non-transferable. You may not resell, sublicence, or share your access credentials.

4. No Statutory Right of Withdrawal — Digital Goods

Important — EU/EEA consumers: Under EU Consumer Rights Directive (2011/83/EU, Art. 16(m)), consumers may waive the 14-day right of withdrawal for digital content not supplied on a tangible medium where performance has begun with their prior express consent and acknowledgement that the right of withdrawal is thereby lost. By completing your purchase you give that express consent via the mandatory checkbox at checkout.

Under Swiss law, there is no statutory right of withdrawal for distance or online contracts (the Swiss CO does not grant consumers a general 14-day cooling-off right for online purchases). DitherLab Pro is a digital product delivered immediately upon payment; no physical medium is involved.

Accordingly, all sales of DitherLab Pro are final. We do not offer refunds except where required by mandatory applicable law that cannot be excluded by contract.

5. Chargebacks & Fraud Prevention

Initiating a chargeback or payment dispute after accessing Pro features constitutes fraudulent use. We reserve the right to permanently revoke a Pro licence without notice or refund in such cases, and to pursue recovery of amounts owed in accordance with applicable law.

All content, code, and design elements of DitherLab are owned by or licensed to RDI. Your purchase grants you a personal licence to use the Service; it transfers no intellectual property rights to you.

You retain full ownership of any images you process with DitherLab. We make no claim over your content.

8. Availability & Modifications

We aim to keep the Service available without interruption but do not guarantee continuous uptime. We may modify, suspend, or discontinue features at any time. In the event of permanent discontinuation, we will provide reasonable notice.

9. Disclaimer of Warranties

To the extent permitted by Swiss law, the Service is provided "as is" without warranties of any kind, express or implied, including implied warranties of fitness for a particular purpose and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, RDI's total liability for any claim arising from the use of the Service shall not exceed the amount paid for the Pro licence. We are not liable for indirect, incidental, or consequential damages. Nothing in these Terms excludes liability for wilful misconduct (dol) or gross negligence under Swiss law.

11. Jurisdiction & Dispute Resolution

These Terms are governed by Swiss law. The exclusive place of jurisdiction for any disputes arising from or in connection with these Terms is Lausanne, canton of Vaud, Switzerland (Tribunal d'arrondissement de Lausanne), subject to any mandatory jurisdiction rules that apply to consumers under the law of their habitual domicile.

EU consumers may also use the European Commission's Online Dispute Resolution platform: ec.europa.eu/consumers/odr.

For Swiss consumers, the Swiss Arbitration Centre and cantonal conciliation procedures are available.
